Cross border legal advice enables another acquisition for Integrity360
Growing national law firm, Foot Anstey LLP has helped Integrity360, an August Equity portfolio company, expand its European footprint and its cyber security portfolio through the acquisition of leading European PCI QSA (Payment Card Industry Qualified Security Assessor) company Advantio.
Integrity360, a specialist cybersecurity firm, already has offices in Dublin, London and Sofia. Its team of security specialists support clients around the world to do business securely.
Acquiring Advantio is part of Integrity360's pan-European expansion plan and introduces complementary PCI compliance services to Integrity360's portfolio of cyber risk, assurance and security services. The group now employs circa. 500 with over 300 dedicated cyber security experts who deliver incident response, industry leading penetration testing, red teaming, consulting and compliance, and cyber infrastructure design, implementation and project management services across Europe and the UK.
As part of the acquisition, Integrity360 has formed a strategic partnership with Advantio's founders to bolster the footprint of ZeroRisk, an innovative SaaS platform providing compliance and cyber risk management profiling services.
This is the second acquisition that Foot Anstey has worked on for Integrity360, and its multi-disciplinary team advised on all aspects of the deal. As part of the transaction, Foot Anstey worked with and seamlessly coordinated firms across Europe, including firms based-in in Ireland, Italy, Spain, Ukraine and Lithuania. In March 2022, the law firm helped Integrity360 acquire Caretower which brought the addition of a Secure Operations Centre (SOC) in Bulgaria.
Emma Clayton, Senior Associate at Foot Anstey, commented: "We are incredibly proud of our work on Integrity360's latest acquisition. At Foot Anstey, we are well equipped to advise on cross border deals due to our human approach and unique understanding of the markets. We worked collaboratively with the team at Integrity360 to achieve key milestones and make sure all parties were happy with the outcomes. We look forward to working with Integrity360 in the future to support its continued growth."
Alongside Emma Clayton, who led the deal, the Foot Anstey team included Managing Associate Hannah Batten who advised on intellectual property matters, Solicitor Laura Tunks on employment matters and Associate Emma Robinson and Trainee Solicitor Megan Berry on corporate aspects of the acquisition.
